        <p>In this short essay dedicated to the memory of Riccardo Del Punta, my aim is to highlight one of his (many) contributions to labour law, and to reflect on possible ways to apply it on a timely question. Is it argued that the capability approach can be used as an aid to help determine the status of on-demand platform workers. More specifically, because such workers often have some freedom to choose when to work and how much to work, we can use the capability approach to examine to what extent this freedom is real and meaningful, and also, to what extent it is relevant for the need of specific labour law protections.</p>

      <div><head><hi>Platform Workers, Autonomy, and<lb/>the Capability Approach</hi></head><p rend="h1_author ParaOverride-1" ><hi rend="CharOverride-1">Guy Davidov</hi></p><p rend="text" ><hi rend="CharOverride-1">Riccardo Del Punta, who passed away too young</hi><hi rend="CharOverride-1">, is greatly missed. A true intellectual, with a brilliant mind</hi><hi rend="CharOverride-1">, extensive knowledge and original ideas, he was also exceptionally generous</hi><hi rend="CharOverride-1"> and supportive as a colleague, a pleasure to work with</hi><hi rend="CharOverride-1"> and to learn from. In this short essay dedicated to</hi><hi rend="CharOverride-1"> his memory, my aim is to highlight one of his</hi><hi rend="CharOverride-1"> (many) contributions to labour law, and to reflect on possible</hi><hi rend="CharOverride-1"> ways to apply it on a timely question. My argument</hi><hi rend="CharOverride-1"> is that the capability approach can be used as an</hi><hi rend="CharOverride-1"> aid to help determine the status of on-demand platform</hi><hi rend="CharOverride-1"> workers. More specifically, because such workers often have some freedom</hi><hi rend="CharOverride-1"> to choose when to work and how much to work</hi><hi rend="CharOverride-1">, we can use the capability approach to examine to what</hi><hi rend="CharOverride-1"> extent this freedom is real and meaningful, and also, to</hi><hi rend="CharOverride-1"> what extent is it relevant for the need of specific</hi><hi rend="CharOverride-1"> labour law protections.</hi></p><div><head><hi>1. The Capability Approach and Labour Law</hi></head><p rend="text" ><hi rend="CharOverride-1">Riccardo was a kind and compassionate person, and also a</hi><hi rend="CharOverride-1"> kind and compassionate labour law scholar. However, this did not</hi><hi rend="CharOverride-1"> lead him to adopt a «one track mind» position in</hi><hi rend="CharOverride-1"> favour of always expanding workers’ rights. Given the inequality of</hi><hi rend="CharOverride-1"> bargaining power and subordination of employees to employers, some labour</hi><hi rend="CharOverride-1"> law scholars see the employment relationship solely as a power</hi><hi rend="CharOverride-1"> struggle, with the goals of labour law being to redistribute</hi><hi rend="CharOverride-1"> and give more power to employees. Riccardo certainly acknowledged these</hi><hi rend="CharOverride-1"> fundamental characteristics of employment and the redistributive goal of labour</hi><hi rend="CharOverride-1"> law, but complemented it with a rounded understanding of the</hi><hi rend="CharOverride-1"> complexity of employment relations, including the legitimate interests of the</hi><hi rend="CharOverride-1"> employer, the broader interests of society, and additional interests of</hi><hi rend="CharOverride-1"> employees.</hi></p><p rend="text" ><hi rend="CharOverride-1">If the traditional view conceives of the discipline «as</hi><hi rend="CharOverride-1"> a factor that curbed economic activity for the sake of</hi><hi rend="CharOverride-1"> social and more broadly humanistic values» (Del Punta 2015, 123</hi><hi rend="CharOverride-1">), Riccardo has pointedly argued that «[i]t is pointless to</hi><hi rend="CharOverride-1"> conceive of labour law as opposed to economics, as if</hi><hi rend="CharOverride-1"> the former could still concern itself merely with the distribution</hi><hi rend="CharOverride-1"> of wealth and not also – especially at a time of</hi><hi rend="CharOverride-1"> low growth – with its production. Labour law should be law</hi><hi rend="CharOverride-1"> that fuses value claims and organisational and economic considerations» (Del</hi><hi rend="CharOverride-1"> Punta 2015, 135). This approach has led Riccardo to nuanced</hi><hi rend="CharOverride-1"> and pragmatic views that correspond to real-life complexity and</hi><hi rend="CharOverride-1"> rely on empirical economic studies alongside philosophical theories, for example</hi><hi rend="CharOverride-1"> in the context of dismissals or more generally «flexicurity» policies</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-026">1</ref></hi></hi><hi rend="CharOverride-1">. It can also explain Riccardo’s long-time interest </hi><hi rend="CharOverride-1">in the capabilities approach and the potential it holds to </hi><hi rend="CharOverride-1">reinvigorate labour law theory and policy debates. Instead of the </hi><hi rend="CharOverride-1">traditional «protective paradigm», rooted in the «old ‘inequality of power’ </hi><hi rend="CharOverride-1">narrative», Riccardo saw the capabilities approach as a useful answer </hi><hi rend="CharOverride-1">to neoliberal policies that undermine labour law, while at the </hi><hi rend="CharOverride-1">same time a new theoretical basis that can lead to </hi><hi rend="CharOverride-1">much-needed internal rethinking about the goals of the field, </hi><hi rend="CharOverride-1">and how it should respond to dramatic changes in the </hi><hi rend="CharOverride-1">labour market and society more generally</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-025">2</ref></hi></hi><hi rend="CharOverride-1">.</hi></p><p rend="text" ><hi rend="CharOverride-1">The general idea of</hi><hi rend="CharOverride-1"> the capabilities approach – first developed by Amartya Sen – is that</hi><hi rend="CharOverride-1"> «capabilities» should be the main focus of our concern (rather</hi><hi rend="CharOverride-1"> than, for example, the allocation of resources) (Sen 1999; 2009</hi><hi rend="CharOverride-1">). Sen’s theory of justice focuses on advancing capabilities as</hi><hi rend="CharOverride-1"> the best way to advance freedom as well as equality</hi><hi rend="CharOverride-1">. People should be able to effectively pursue their plans of</hi><hi rend="CharOverride-1"> life, and in order to have this freedom to achieve</hi><hi rend="CharOverride-1"> what they want and value, they need capabilities. In Sen</hi><hi rend="CharOverride-1">’s terms, what we need and want are «functionings». Rather</hi><hi rend="CharOverride-1"> than focus on providing people with those functionings directly, society</hi><hi rend="CharOverride-1"> should ensure that they have the capabilities needed to secure</hi><hi rend="CharOverride-1"> them. An important part of this idea is that people</hi><hi rend="CharOverride-1"> should «be left free to determine their own course after</hi><hi rend="CharOverride-1"> that» (Nussbaum 2000, 87). Alongside other leading labour law scholars</hi><hi rend="CharOverride-1"> – notably Simon Deakin (Deakin, Wilkinson 2005, 290 ff) and Brian</hi><hi rend="CharOverride-1"> Langille (2011, 101; 2019, 122) – Riccardo argued that these ideas</hi><hi rend="CharOverride-1"> can be used as a new theoretical basis for labour</hi><hi rend="CharOverride-1"> law. In line with his generally nuanced approach, he acknowledged</hi><hi rend="CharOverride-1"> that no one theory can provide justification for </hi><hi rend="italic">all </hi><hi rend="CharOverride-1">labour</hi><hi rend="CharOverride-1"> laws; he considered it sufficient that the capability approach can</hi><hi rend="CharOverride-1"> be used to justify at least parts of labour law</hi><hi rend="CharOverride-1"> (Del Punta 2019, 87).</hi></p><p rend="text" ><hi rend="CharOverride-1">As Riccardo explained, some labour laws</hi><hi rend="CharOverride-1"> are designed to protect employees from abuse of power by</hi><hi rend="CharOverride-1"> the employer, and can be seen as advancing «freedom </hi><hi rend="italic">from</hi><hi rend="CharOverride-1">» such abuse. He considered the capability approach to be compatible</hi><hi rend="CharOverride-1"> with such laws, although not adding much to other, traditional</hi><hi rend="CharOverride-1"> justifications focusing on inequality of power. However, he argued that</hi><hi rend="CharOverride-1"> other labour laws can be seen more directly as positively</hi><hi rend="CharOverride-1"> advancing capabilities, in the sense of promoting the «freedom </hi><hi rend="italic">to</hi><hi rend="CharOverride-1">» do things that people value, whether within the work context (for example through workplace</hi><hi rend="CharOverride-1"> participation) or outside of it (by having the free time</hi><hi rend="CharOverride-1"> and basic resources needed for that) (Del Punta 2019, 94</hi><hi rend="CharOverride-1">-96, 98-99; 2016). This is where he saw the</hi><hi rend="CharOverride-1"> capability approach as having a comparative advantage. In this regard</hi><hi rend="CharOverride-1">, Riccardo saw promise in shifting some of the focus of</hi><hi rend="CharOverride-1"> labour law from «containing the stronger party» towards «an expansion</hi><hi rend="CharOverride-1"> of each individual worker’s capacities, skills, and opportunities, as</hi><hi rend="CharOverride-1"> well as contractual autonomy» (Del Punta 2019, 101).</hi></p><p rend="text" ><hi rend="CharOverride-1">The capabilities</hi><hi rend="CharOverride-1"> approach to labour law, if adopted as the main justification</hi><hi rend="CharOverride-1">, can lead to less protections (Davidov 2007; 2014), but at</hi><hi rend="CharOverride-1"> the same time it is associated with a call for</hi><hi rend="CharOverride-1"> broadening the scope of the field to cover more people</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-024">3</ref></hi></hi><hi rend="CharOverride-1">. If our goal is to advance freedom (through capabilities), </hi><hi rend="CharOverride-1">at work and from work, this appears to apply for </hi><hi rend="CharOverride-1">self-employed people just like employees. Why not expand some </hi><hi rend="CharOverride-1">of the same laws to cover all those who work </hi><hi rend="CharOverride-1">for others? Indeed we can see this happening in some </hi><hi rend="CharOverride-1">countries with regard to a few specific labour laws – mostly </hi><hi rend="CharOverride-1">those dealing with non-discrimination and health and safety</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-023">4</ref></hi></hi><hi rend="CharOverride-1">. Supporters</hi><hi rend="CharOverride-1"> of the capability approach usually call for further expanding the</hi><hi rend="CharOverride-1"> scope, including by covering people whose work is not for</hi><hi rend="CharOverride-1"> any employer/client, such as the work of taking care</hi><hi rend="CharOverride-1"> of one’s own children (Fudge 2011, 120). Riccardo has</hi><hi rend="CharOverride-1"> also suggested that the capability approach can lead to broadening</hi><hi rend="CharOverride-1"> the scope of labour law, but at the same time</hi><hi rend="CharOverride-1"> he rightly acknowledged that at least </hi><hi rend="italic">some</hi><hi rend="CharOverride-1"> labour rights would</hi><hi rend="CharOverride-1"> still require the distinction between employees and independent contractors (and</hi><hi rend="CharOverride-1"> by implication, between people who perform work in general and</hi><hi rend="CharOverride-1"> those who work </hi><hi rend="italic">for others</hi><hi rend="CharOverride-1">) (Del Punta 2016, 400-1</hi><hi rend="CharOverride-1">).</hi></p></div><div><head><hi>2. Three Circles of Responsibility</hi></head><p rend="text" ><hi rend="CharOverride-1">It is important, in my</hi><hi rend="CharOverride-1"> view, to bear in mind the distinction between three different</hi><hi rend="CharOverride-1"> circles of responsibility: the state, and employer, and the individual</hi><hi rend="CharOverride-1">. The fact that as a society we want to advance</hi><hi rend="CharOverride-1"> people’s capabilities does not mean that we should automatically</hi><hi rend="CharOverride-1"> do something about it through regulation or public funding. Rather</hi><hi rend="CharOverride-1">, there is an additional decision to make about the allocation</hi><hi rend="CharOverride-1"> of various situations into the three above-mentioned circles. In</hi><hi rend="CharOverride-1"> one group of cases, we believe that individuals can take</hi><hi rend="CharOverride-1"> care of themselves – usually through the market – and leave the</hi><hi rend="CharOverride-1"> responsibility with the individual</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-022">5</ref></hi></hi><hi rend="CharOverride-1">. In another group of cases, </hi><hi rend="CharOverride-1">we believe that there is a specific entity – an employer – </hi><hi rend="CharOverride-1">that has to take responsibility. In such cases we impose </hi><hi rend="CharOverride-1">liability on the employer through labour laws. Finally, in the </hi><hi rend="CharOverride-1">third group of cases, society decides to take direct responsibility </hi><hi rend="CharOverride-1">for people, by funding certain programs (such as public education </hi><hi rend="CharOverride-1">or public healthcare) or by providing welfare payments.</hi></p><p rend="text" ><hi rend="CharOverride-1">This distinction – </hi><hi rend="CharOverride-1">which can roughly be described as the distinction between private </hi><hi rend="CharOverride-1">law, labour law, and welfare law/public services – remains necessary. </hi><hi rend="CharOverride-1">Without a specific employer that can and should take responsibility </hi><hi rend="CharOverride-1">for a specific employee, there is no justification for imposing </hi><hi rend="CharOverride-1">labour law obligations. And given that public resources are always </hi><hi rend="CharOverride-1">limited, at least in a capitalistic society the state cannot </hi><hi rend="CharOverride-1">pay for every need of every individual, but rather has </hi><hi rend="CharOverride-1">to focus on those who cannot secure their own needs </hi><hi rend="CharOverride-1">through the market economy. Of course, the lines between the </hi><hi rend="CharOverride-1">three systems are not fixed. In social-democratic welfare systems, </hi><hi rend="CharOverride-1">the state takes more responsibility on itself compared to liberal </hi><hi rend="CharOverride-1">systems who prefer to leave more to the market. And </hi><hi rend="CharOverride-1">the definitions of «employee» and «employer» can be expanded to </hi><hi rend="CharOverride-1">include more people within the scope of labour law, if </hi><hi rend="CharOverride-1">society believes this to be justified. The lines can be </hi><hi rend="CharOverride-1">moved, but they will still be needed. Which leads me </hi><hi rend="CharOverride-1">to ask: can the capability approach help to determine how </hi><hi rend="CharOverride-1">to set the lines?</hi></p><p rend="text" ><hi rend="CharOverride-1">In previous writings I have argued </hi><hi rend="CharOverride-1">that the capability approach can provide justification for </hi><hi rend="italic">some</hi><hi rend="CharOverride-1"> labour </hi><hi rend="CharOverride-1">laws (alongside other justifications). This is especially so for workplace </hi><hi rend="CharOverride-1">equality laws, broadly conceived (including anti-discrimination, gender pay equity, </hi><hi rend="CharOverride-1">sexual harassment laws, parental leave, and a right to request </hi><hi rend="CharOverride-1">flexible work), as well as workers’ health and well-being </hi><hi rend="CharOverride-1">laws (under this heading I include maximum hours, public holidays, </hi><hi rend="CharOverride-1">vacation rights, health and safety, and limitations on child labour)</hi><hi rend="CharOverride-1"> (Davidov 2019, 42, 49). Somewhat less directly, the capability approach can</hi><hi rend="CharOverride-1"> also be used as a supporting justification for several other</hi><hi rend="CharOverride-1"> labour laws. At the same time, I expressed doubts in</hi><hi rend="CharOverride-1"> previous writings about the ability of justifications at this level</hi><hi rend="CharOverride-1"> of abstraction to assist in the specific task of determining</hi><hi rend="CharOverride-1"> the scope of labour regulations. This is true not only</hi><hi rend="CharOverride-1"> with regard to the capabilities approach, but also with regard</hi><hi rend="CharOverride-1"> to other justifications such as redistribution (or distributive justice), advancing</hi><hi rend="CharOverride-1"> democracy (or more specifically, voice), protecting dignity, and so on</hi><hi rend="CharOverride-1">. These are clearly important goals (and justifications) of labour law</hi><hi rend="CharOverride-1">, but they are not directly helpful for setting the boundaries</hi><hi rend="CharOverride-1"> of labour law and deciding who should be considered an</hi><hi rend="CharOverride-1"> «employee» or an «employer» (Davidov 2016, 118-19). For such</hi><hi rend="CharOverride-1"> purposes, I have argued before that the focus has to</hi><hi rend="CharOverride-1"> be on subordination (in the sense of democratic deficits) and</hi><hi rend="CharOverride-1"> dependency (in the sense of inability to spread risk). These</hi><hi rend="CharOverride-1"> vulnerabilities also provide justification for labour laws. They do not</hi><hi rend="CharOverride-1"> contradict the previous justifications, but rather explain the need for</hi><hi rend="CharOverride-1"> labour laws at a different level of abstraction, which seems</hi><hi rend="CharOverride-1"> to me more helpful for the task of delineating the</hi><hi rend="CharOverride-1"> scope (Davidov 2016, Ch 6). It is only when these characteristics exist</hi><hi rend="CharOverride-1"> that there is justification to impose liability on a specific</hi><hi rend="CharOverride-1"> employer, i.e. that the relevant circle is the one</hi><hi rend="CharOverride-1"> of labour law and not one of the other circles</hi><hi rend="CharOverride-1"> of responsibility.</hi></p><p rend="text" ><hi rend="CharOverride-1">Notwithstanding my previous sceptical position, I find myself</hi><hi rend="CharOverride-1"> drawn back to this question when thinking about the timely</hi><hi rend="CharOverride-1"> topic of on-demand platform workers, such as Uber drivers</hi><hi rend="CharOverride-1">. This is because it is claimed that such workers have</hi><hi rend="CharOverride-1"> a relatively high degree of autonomy, in particular the freedom</hi><hi rend="CharOverride-1"> to choose how much to work and when to work</hi><hi rend="CharOverride-1">, which is considered a key characteristic of independent contractors. Given</hi><hi rend="CharOverride-1"> the focus of the capabilities approach on substantive freedom, perhaps</hi><hi rend="CharOverride-1"> there is something to learn from it about the appropriate</hi><hi rend="CharOverride-1"> status of platform workers.</hi></p></div><div><head><hi>3. On-demand Platform Workers</hi></head><p rend="text" ><hi rend="CharOverride-1">Digital</hi><hi rend="CharOverride-1"> platforms offer an extremely convenient service to consumers. One can</hi><hi rend="CharOverride-1"> easily open an app on the phone and book a</hi><hi rend="CharOverride-1"> ride, or a delivery, or some other service. The platform</hi><hi rend="CharOverride-1"> can hire employees to meet the demand and provide the</hi><hi rend="CharOverride-1"> service on its behalf, but many platforms (though not all</hi><hi rend="CharOverride-1">) have chosen a different model: to rely on people considered</hi><hi rend="CharOverride-1"> by the platform to be independent contractors. This allows such</hi><hi rend="CharOverride-1"> a business to save the costs associated with labour laws</hi><hi rend="CharOverride-1">, as well as to avoid other legal limitations on its</hi><hi rend="CharOverride-1"> managerial flexibility. Is this just another example of employee misclassification</hi><hi rend="CharOverride-1">, a common and perpetual problem that labour law has to</hi><hi rend="CharOverride-1"> confront? Many courts around the world have concluded that this</hi><hi rend="CharOverride-1"> is indeed the case</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-021">6</ref></hi></hi><hi rend="CharOverride-1">. But they had to confront </hi><hi rend="CharOverride-1">an obstacle on the way to this conclusion: platform workers </hi><hi rend="CharOverride-1">are not committed to work on specific times or for </hi><hi rend="CharOverride-1">any specified number of hours. They can log into the </hi><hi rend="CharOverride-1">app and make themselves available to work whenever they want. </hi><hi rend="CharOverride-1">This kind of autonomy is generally reserved to independent contractors, </hi><hi rend="CharOverride-1">and seems (at least on its face) to contradict the </hi><hi rend="CharOverride-1">characteristics of employees. Specifically, is there subordination (or «control») under </hi><hi rend="CharOverride-1">these circumstances?</hi></p><p rend="text" ><hi rend="CharOverride-1">The answer depends on the facts of the </hi><hi rend="CharOverride-1">specific platform, but at least in the case of Uber, </hi><hi rend="CharOverride-1">in most countries courts have concluded that subordination exists, and </hi><hi rend="CharOverride-1">the drivers are employees or at least part of an </hi><hi rend="CharOverride-1">intermediate category subject to </hi><hi rend="italic">some</hi><hi rend="CharOverride-1"> labour rights</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-020">7</ref></hi></hi><hi rend="CharOverride-1">. One reason for</hi><hi rend="CharOverride-1"> this conclusion was the insistence on checking the level of</hi><hi rend="CharOverride-1"> autonomy </hi><hi rend="italic">as a matter of practice</hi><hi rend="CharOverride-1"> rather than theoretical possibility</hi><hi rend="CharOverride-1">. In reality it turns out that drivers have quite limited</hi><hi rend="CharOverride-1"> autonomy regarding when to work and how much to work</hi><hi rend="CharOverride-1">, if they want to secure reasonable compensation (which is not</hi><hi rend="CharOverride-1"> lower than the minimum wage). The rates determined by the</hi><hi rend="CharOverride-1"> platform, together with other incentives and disincentives, push people to</hi><hi rend="CharOverride-1"> work during the times they are needed rather than the</hi><hi rend="CharOverride-1"> times they prefer, and often to work more than they</hi><hi rend="CharOverride-1"> wanted. This is not to say that Uber drivers have</hi><hi rend="CharOverride-1"> no autonomy at all on these matters, but the level</hi><hi rend="CharOverride-1"> of autonomy is much lower than what might appear «on</hi><hi rend="CharOverride-1"> paper»</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-019">8</ref></hi></hi><hi rend="CharOverride-1">. A second reason that led to the conclusion</hi><hi rend="CharOverride-1"> of subordination in the relationship is the existence of other</hi><hi rend="CharOverride-1"> indicators pointing in that direction. A decision regarding status is</hi><hi rend="CharOverride-1"> based on a «multi-factor test»: an examination of multiple</hi><hi rend="CharOverride-1"> indicators, leading to a holistic assessment of all of them</hi><hi rend="CharOverride-1"> together. Some level of autonomy to decide when to work</hi><hi rend="CharOverride-1"> and how much to work is considered a sign pointing</hi><hi rend="CharOverride-1"> towards independent contractor status, but it has to be balanced</hi><hi rend="CharOverride-1"> against other indicators that might point in the opposite direction</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-018">9</ref></hi></hi><hi rend="CharOverride-1">.</hi></p><p rend="text" ><hi rend="CharOverride-1">It appears, then, that courts can find solutions to the new challenge </hi><hi rend="CharOverride-1">of platform workers’ status within the confines of existing doctrines</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-017">10</ref></hi></hi><hi rend="CharOverride-1">. But the question remains, how can we tell to what</hi><hi rend="CharOverride-1"> extent autonomy is «real» and gauge the level of autonomy</hi><hi rend="CharOverride-1">? And to what extent should autonomy be a factor determining</hi><hi rend="CharOverride-1"> employee status, at the normative level? Insights from the capability</hi><hi rend="CharOverride-1"> approach can be useful for both questions.</hi></p></div><div><head><hi>4. From «Primacy</hi><hi> of Fact» to Substantive Freedom</hi></head><p rend="text" ><hi rend="CharOverride-1">Focusing on the reality of</hi><hi rend="CharOverride-1"> the relationship is a crucial principle of dealing with misclassification</hi><hi rend="CharOverride-1"> claims. It is known in some countries as the «primacy</hi><hi rend="CharOverride-1"> of reality» or «primacy of fact»</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-016">11</ref></hi></hi><hi rend="CharOverride-1">. Given the inequality</hi><hi rend="CharOverride-1"> of power between the parties, it is quite easy for</hi><hi rend="CharOverride-1"> employers to unilaterally dictate the terms of the written contract</hi><hi rend="CharOverride-1">. If we decide the status based on the written terms</hi><hi rend="CharOverride-1">, that would give employers a simple and easy way to</hi><hi rend="CharOverride-1"> evade responsibility. Courts rightly stress that they decide the status</hi><hi rend="CharOverride-1"> based on the </hi><hi rend="italic">real </hi><hi rend="CharOverride-1">characteristics of the relationship. But how</hi><hi rend="CharOverride-1"> far do they go to understand the reality?</hi></p><p rend="text" ><hi rend="CharOverride-1">The most</hi><hi rend="CharOverride-1"> minimal level is ignoring «sham» contractual provisions. For example, in</hi><hi rend="CharOverride-1"> the UK it is common for employers to insert a</hi><hi rend="CharOverride-1"> «substitution clause» which allows the worker to send others to</hi><hi rend="CharOverride-1"> do the work instead of him/her. This is intended</hi><hi rend="CharOverride-1"> to suggest that the relationship is not personal (a precondition</hi><hi rend="CharOverride-1"> for employment), but rather a contract to buy services, which</hi><hi rend="CharOverride-1"> the worker is free to provide either by themselves or</hi><hi rend="CharOverride-1"> through others. On paper, this appears to be a strong</hi><hi rend="CharOverride-1"> indication of independent contractor status; it paints the worker as</hi><hi rend="CharOverride-1"> having a small business with the ability to send their</hi><hi rend="CharOverride-1"> own employees to do the required work. But often it</hi><hi rend="CharOverride-1"> is easy to see that this written contractual provision has</hi><hi rend="CharOverride-1"> nothing to do with the actual agreement between the parties</hi><hi rend="CharOverride-1">. Imagine, for example, that the worker is expected, through verbal</hi><hi rend="CharOverride-1"> statements (express or implied), to do all the work by</hi><hi rend="CharOverride-1"> themselves. In such cases, UK courts have recognized for some</hi><hi rend="CharOverride-1"> time that the written provision is a sham and should</hi><hi rend="CharOverride-1"> be ignored</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-015">12</ref></hi></hi><hi rend="CharOverride-1">.</hi></p><p rend="text" ><hi rend="CharOverride-1">What if a substitution clause is not </hi><hi rend="CharOverride-1">a sham, in the strong sense of contradicting the true </hi><hi rend="CharOverride-1">oral agreement between the parties, but still misrepresents the nature </hi><hi rend="CharOverride-1">of the relationship? Imagine that the worker is formally allowed </hi><hi rend="CharOverride-1">to send others to do the work, but both parties </hi><hi rend="CharOverride-1">know that this is not going to happen, except maybe </hi><hi rend="CharOverride-1">in very rare cases. The substitution clause was inserted only </hi><hi rend="CharOverride-1">for the purpose of evading employer responsibilities. In the UK, </hi><hi rend="CharOverride-1">the Supreme Court has been somewhat inconsistent about such situations. </hi><hi rend="CharOverride-1">In the case of </hi><hi rend="italic">Autoclenz</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-014">13</ref></hi></hi><hi rend="CharOverride-1">, workers who provided car-cleaning</hi><hi rend="CharOverride-1"> services were ruled to be employees, despite a substitution clause</hi><hi rend="CharOverride-1"> and other provisions in their contract to the contrary. The</hi><hi rend="CharOverride-1"> Court made some ground-breaking statements about the need to</hi><hi rend="CharOverride-1"> understand what was the «true agreement between the parties»</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-013">14</ref></hi></hi><hi rend="CharOverride-1">, and in particular, acknowledged that «the relative bargaining power of</hi><hi rend="CharOverride-1"> the parties must be taken into account in deciding whether</hi><hi rend="CharOverride-1"> the terms of any written agreement in truth represent what</hi><hi rend="CharOverride-1"> was agreed and the true agreement will often have to</hi><hi rend="CharOverride-1"> be gleaned from all the circumstances of the case, of</hi><hi rend="CharOverride-1"> which the written agreement is only a part. This may</hi><hi rend="CharOverride-1"> be described as a purposive approach to the problem»</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-012">15</ref></hi></hi><hi rend="CharOverride-1">. With regard to the substitution clause, as well as another</hi><hi rend="CharOverride-1"> contractual provision allowing the workers to refuse work, it was</hi><hi rend="CharOverride-1"> concluded that they were «unrealistic possibilities that were not truly</hi><hi rend="CharOverride-1"> in the contemplation of the parties when they entered into</hi><hi rend="CharOverride-1"> their agreements»</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-011">16</ref></hi></hi><hi rend="CharOverride-1">. At the same time, the Court emphasised</hi><hi rend="CharOverride-1"> that the question was ultimately what was the «true agreement</hi><hi rend="CharOverride-1">» and cautioned against focusing on the «true intentions» or «true</hi><hi rend="CharOverride-1"> expectations» of the parties, because of the risk that these</hi><hi rend="CharOverride-1"> might be only private intentions</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-010">17</ref></hi></hi><hi rend="CharOverride-1">.</hi></p><p rend="text" ><hi rend="CharOverride-1">A few years later, </hi><hi rend="CharOverride-1">in the case of </hi><hi rend="italic">Uber</hi><hi rend="CharOverride-1">, the UK Supreme Court further </hi><hi rend="CharOverride-1">developed its purposive approach, acknowledging that the ultimate question when </hi><hi rend="CharOverride-1">deciding if one is an employee was whether the purpose </hi><hi rend="CharOverride-1">of labour laws was to cover this type of worker. </hi><hi rend="CharOverride-1">Uber drivers have the vulnerabilities of subordination and dependency and </hi><hi rend="CharOverride-1">are therefore employees. To reach this conclusion, the Court noted </hi><hi rend="CharOverride-1">that focusing on the written contract as a starting point </hi><hi rend="CharOverride-1">when asking if someone is an employee (or «worker» under </hi><hi rend="CharOverride-1">UK law) would be inconsistent with the purposive approach, given </hi><hi rend="CharOverride-1">that «an employer is often in a position to dictate </hi><hi rend="CharOverride-1">such contract terms»</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-009">18</ref></hi></hi><hi rend="CharOverride-1">. The Court acknowledged that the drivers «</hi><hi rend="CharOverride-1">had in some respects a substantial measure of autonomy and </hi><hi rend="CharOverride-1">independence», because «they were free to choose when, how much </hi><hi rend="CharOverride-1">and where» to work</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-008">19</ref></hi></hi><hi rend="CharOverride-1">, but then went on to detail</hi><hi rend="CharOverride-1"> several other facts showing that there was ultimately a high</hi><hi rend="CharOverride-1"> degree of control over the drivers</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-007">20</ref></hi></hi><hi rend="CharOverride-1">.</hi></p><p rend="text" ><hi rend="CharOverride-1">The Uber judgment </hi><hi rend="CharOverride-1">took a step further in moving beyond the contract and </hi><hi rend="CharOverride-1">looking at the «true nature of the relationship»</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-006">21</ref></hi></hi><hi rend="CharOverride-1">. This </hi><hi rend="CharOverride-1">means not only setting aside «sham» contractual provisions, or giving </hi><hi rend="CharOverride-1">preference to verbal/implied agreements when the written contract is </hi><hi rend="CharOverride-1">inconsistent with them. Rather, the Uber judgment suggests that courts </hi><hi rend="CharOverride-1">should give little weight (if at all) to the written </hi><hi rend="CharOverride-1">contract; instead they should focus on the socio-economic characteristics </hi><hi rend="CharOverride-1">of the relationships that put the worker in need of </hi><hi rend="CharOverride-1">protection. Unfortunately, in a recent judgment dealing with Deliveroo riders</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-005">22</ref></hi></hi><hi rend="CharOverride-1">, the UK Supreme Court took a step </hi><hi rend="italic">backwards</hi><hi rend="CharOverride-1">, giving significant force to a substitution </hi><hi rend="CharOverride-1">clause inserted into work contracts. Although the Court reiterated the «</hi><hi rend="CharOverride-1">need to focus on the reality of the situation»</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-004">23</ref></hi></hi><hi rend="CharOverride-1">, </hi><hi rend="CharOverride-1">it inexplicably ignored the fact that, as a matter of </hi><hi rend="CharOverride-1">practice, substitution was very rare</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-003">24</ref></hi></hi><hi rend="CharOverride-1">, and concluded that Deliveroo riders</hi><hi rend="CharOverride-1"> where not entitled to labour rights merely because of a</hi><hi rend="CharOverride-1"> substitution clause</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-002">25</ref></hi></hi><hi rend="CharOverride-1">. While the </hi><hi rend="italic">Deliveroo</hi><hi rend="CharOverride-1"> judgment purported to follow </hi><hi rend="CharOverride-1">the same principles adopted in the </hi><hi rend="italic">Uber</hi><hi rend="CharOverride-1"> case, it appears </hi><hi rend="CharOverride-1">to be entirely inconsistent with it, leaving the legal situation </hi><hi rend="CharOverride-1">in the UK unclear.</hi></p><p rend="text" ><hi rend="CharOverride-1">It seems to me that a </hi><hi rend="CharOverride-1">focus on the </hi><hi rend="italic">purpose</hi><hi rend="CharOverride-1"> of labour laws when interpreting the </hi><hi rend="CharOverride-1">term employee is key. In </hi><hi rend="italic">Deliveroo</hi><hi rend="CharOverride-1"> this was not the </hi><hi rend="CharOverride-1">Court’s main focus. But there was also a more </hi><hi rend="CharOverride-1">specific problem: the Court gave significant weight to the perceived </hi><hi rend="CharOverride-1">autonomy of the workers to send someone else to do </hi><hi rend="CharOverride-1">the work. Once the Court concluded that this was not </hi><hi rend="CharOverride-1">a sham – that riders were really allowed to send someone </hi><hi rend="CharOverride-1">else if they wanted to – it did not bother to </hi><hi rend="CharOverride-1">examine whether it made any sense for them do to </hi><hi rend="CharOverride-1">so, and whether they really had characteristics of an independent </hi><hi rend="CharOverride-1">business, even though they almost never used the substitution right. </hi><hi rend="CharOverride-1">A focus on </hi><hi rend="italic">substantive</hi><hi rend="CharOverride-1"> freedom, which is central to the </hi><hi rend="CharOverride-1">capability approach, could have been helpful here. The judgment in </hi><hi rend="italic">Deliveroo</hi><hi rend="CharOverride-1"> is a good example of giving too much weight to </hi><hi rend="italic">formal</hi><hi rend="CharOverride-1"> freedom. Giving Deliveroo riders a right to</hi><hi rend="CharOverride-1"> send others to do the work is similar to giving</hi><hi rend="CharOverride-1"> a homeless person a right to free speech. It is</hi><hi rend="CharOverride-1"> rather meaningless if one does not have the capabilities necessary</hi><hi rend="CharOverride-1"> to make use of the right. For the homeless person</hi><hi rend="CharOverride-1">, a shelter, food, health services and otherwise basic economic security</hi><hi rend="CharOverride-1"> are preconditions to be able to have </hi><hi rend="italic">actual </hi><hi rend="CharOverride-1">freedom of</hi><hi rend="CharOverride-1"> speech – the capacity to be able to think about issues</hi><hi rend="CharOverride-1"> other than bare survival, to formulate opinions and voice them</hi><hi rend="CharOverride-1"> in a manner that can be heard by others. For</hi><hi rend="CharOverride-1"> a Deliveroo rider, some characteristics of an independent business are</hi><hi rend="CharOverride-1"> necessary as precondition for being able to make use of</hi><hi rend="CharOverride-1"> the formal autonomy to send others to work for you</hi><hi rend="CharOverride-1">. No such indicators where present in the case.</hi></p><p rend="text" ><hi rend="CharOverride-1">The suggestion</hi><hi rend="CharOverride-1"> proposed here to use the capability approach is not at</hi><hi rend="CharOverride-1"> the level of a grand theory justifying labour law or</hi><hi rend="CharOverride-1"> showing the way for its future development. It is a</hi><hi rend="CharOverride-1"> much more specific use, but one that can prove very</hi><hi rend="CharOverride-1"> helpful. It complements other ideas – notably the purposive approach and</hi><hi rend="CharOverride-1"> the «primacy of reality» – and provides guidance on how to</hi><hi rend="CharOverride-1"> implement existing tests. To be seen as an independent contractor</hi><hi rend="CharOverride-1">, the autonomy of the worker has to be real. The</hi><hi rend="CharOverride-1"> freedom should be substantive rather than formal. And when looking</hi><hi rend="CharOverride-1"> at some contractual right (such as the right to send</hi><hi rend="CharOverride-1"> others to do the work), it helps to ask whether</hi><hi rend="CharOverride-1"> it actually creates capabilities which enhance freedom</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-001">26</ref></hi></hi><hi rend="CharOverride-1">. The overall </hi><hi rend="CharOverride-1">circumstances and socio-economic situation can assist in answering this </hi><hi rend="CharOverride-1">question.</hi></p></div><div><head><hi>5. Different Types of Autonomy</hi></head><p rend="text" ><hi rend="CharOverride-1">The previous section focused </hi><hi rend="CharOverride-1">on whether a freedom that a worker appears to have </hi><hi rend="CharOverride-1">is «real». Another question raised in the context of on-</hi><hi rend="CharOverride-1">demand platform workers is what types of autonomy are important </hi><hi rend="CharOverride-1">for the decision of whether one is an employee or </hi><hi rend="CharOverride-1">not. A worker can be free to choose when to </hi><hi rend="CharOverride-1">work. Or free to choose how much to work. Or </hi><hi rend="CharOverride-1">free to decide to send others to do the work. </hi><hi rend="CharOverride-1">Or free to set the price of the service (vis-</hi><hi rend="CharOverride-1">à-vis the customers). Or free to refuse specific work. </hi><hi rend="CharOverride-1">Or free to connect directly with customers and build a </hi><hi rend="CharOverride-1">client base. Or free to work for several platforms concurrently. </hi><hi rend="CharOverride-1">Or free to choose what route to take when doing </hi><hi rend="CharOverride-1">deliveries. Or free to decide what to wear during work. </hi><hi rend="CharOverride-1">And so on. These are all indicators considered as part </hi><hi rend="CharOverride-1">of the multi-factor test. But in the context of </hi><hi rend="CharOverride-1">platform work, special attention is given to the freedom to </hi><hi rend="CharOverride-1">choose when and how much to work, because this is </hi><hi rend="CharOverride-1">the main unique characteristic of on-demand platform workers that </hi><hi rend="CharOverride-1">separates them from «regular» employees.</hi></p><p rend="text" ><hi rend="CharOverride-1">How much weight should be </hi><hi rend="CharOverride-1">given to this autonomy? I have already argued in the </hi><hi rend="CharOverride-1">previous section that we should ask whether the freedom is </hi><hi rend="CharOverride-1">real, and how significant it is </hi><hi rend="italic">in practice</hi><hi rend="CharOverride-1">, in light </hi><hi rend="CharOverride-1">of the overall circumstances. At the same time, we can </hi><hi rend="CharOverride-1">ask more generally about each type of autonomy/freedom to </hi><hi rend="CharOverride-1">what extent it can enhance capabilities. Imagine that most of </hi><hi rend="CharOverride-1">the indicators suggest that a worker is an employee; should </hi><hi rend="CharOverride-1">we change this conclusion if they are free to choose </hi><hi rend="CharOverride-1">when and how much to work? It could be helpful </hi><hi rend="CharOverride-1">to ask, what kind of capabilities are enhanced by this </hi><hi rend="CharOverride-1">particular freedom?</hi></p><p rend="text" ><hi rend="CharOverride-1">The ability to decide how much and when </hi><hi rend="CharOverride-1">to work gives workers the possibility to do other things </hi><hi rend="CharOverride-1">with their time. When pay is very low, as in </hi><hi rend="CharOverride-1">the case of Uber drivers for example, this freedom is </hi><hi rend="CharOverride-1">not real but illusionary. In order to make a living, </hi><hi rend="CharOverride-1">even at a basic level, you have to work more </hi><hi rend="CharOverride-1">hours and you have to choose the times that pay </hi><hi rend="CharOverride-1">more. But let us assume another hypothetical platform, where the </hi><hi rend="CharOverride-1">wages are higher and the flexibility regarding when and how </hi><hi rend="CharOverride-1">much to work is real. This kind of arrangement supports </hi><hi rend="CharOverride-1">the capability to do other things with your life. This </hi><hi rend="CharOverride-1">seems to suggest that there is no need to apply </hi><hi rend="CharOverride-1">working time laws, or a right to annual leave. The </hi><hi rend="CharOverride-1">worker can arrange those for themselves. But for other labour </hi><hi rend="CharOverride-1">laws, the freedom to choose how much and when to </hi><hi rend="CharOverride-1">work does not seem very relevant. For example, workers who </hi><hi rend="CharOverride-1">have this freedom can still suffer from discrimination, which diminishes </hi><hi rend="CharOverride-1">capabilities – thus raising the need to apply anti-discrimination laws. </hi><hi rend="CharOverride-1">They still suffer from unequal bargaining power, raising the need </hi><hi rend="CharOverride-1">to allow them to bargain collectively. And so on.</hi></p><p rend="text" ><hi rend="CharOverride-1">These </hi><hi rend="CharOverride-1">are just preliminary thoughts. More research is needed to decide </hi><hi rend="CharOverride-1">which specific labour law protections should apply when workers have </hi><hi rend="italic">real </hi><hi rend="CharOverride-1">freedom to choose how much and when to work. </hi><hi rend="CharOverride-1">And the same is true with regard to other freedoms (</hi><hi rend="CharOverride-1">for example, if the worker is given some discretion to </hi><hi rend="CharOverride-1">decide on the price of the service). The point I </hi><hi rend="CharOverride-1">wish to make is merely that it is helpful to </hi><hi rend="CharOverride-1">ask to what extent a specific freedom enhances capabilities that </hi><hi rend="CharOverride-1">are relevant for specific protections. A separate question is whether </hi><hi rend="CharOverride-1">we want to create a group of workers that is </hi><hi rend="CharOverride-1">subject only to parts of labour law; such an intermediate </hi><hi rend="CharOverride-1">group has some advantages but also disadvantages</hi><hi rend="notes_number CharOverride-2"><hi><ref target="export_25_335-346.html#footnote-000">-1</ref></hi></hi><hi rend="notes_number CharOverride-1">.</hi><hi rend="CharOverride-1"> But even </hi><hi rend="CharOverride-1">for those who prefer a single group of employees that </hi><hi rend="CharOverride-1">enjoy the same group of rights, an understanding of which </hi><hi rend="CharOverride-1">rights are relevant for each type of work would help </hi><hi rend="CharOverride-1">to decide who should be included in this single group.</hi></p></div><div><head><hi>6. Conclusion</hi></head><p rend="text" ><hi rend="CharOverride-1">Among his many academic contributions, Riccardo Del Punta was part of a group</hi><hi rend="CharOverride-1"> of world-leading labour law scholars who advanced the capability</hi><hi rend="CharOverride-1"> approach to labour law. His writings on this topic are</hi><hi rend="CharOverride-1"> sophisticated, convincing and balanced. My own approach is somewhat more</hi><hi rend="CharOverride-1"> sceptical when it comes to adopting the capability approach as</hi><hi rend="CharOverride-1"> a justification for labour law (although I do agree that</hi><hi rend="CharOverride-1"> it provides an additional justification for some specific labour laws</hi><hi rend="CharOverride-1">). However, in this short paper I took inspiration from Riccardo</hi><hi rend="CharOverride-1">’s work and argued that the capability approach can be</hi><hi rend="CharOverride-1"> useful for the timely and important task of deciding the</hi><hi rend="CharOverride-1"> status of platform workers. A focus on substantive freedom and</hi><hi rend="CharOverride-1"> on capabilities can help to understand whether the autonomy given</hi><hi rend="CharOverride-1"> to platform workers is «real», and whether it really makes</hi><hi rend="CharOverride-1"> a difference in terms of their vulnerabilities.
